CONVERSE HOUSING FINANCE CORPORATION

INITIAL MEETING

FEBRUARY 21, 2006

6:30 PM

 

The Converse Housing Finance Corporation met in its initial meeting at the City Council Chambers at 402 South Seguin Street on Tuesday, February 21, 2006 at 6:30 PM to discuss various items on the agenda.  The following were present:

1.                    Call Meeting to Order

 

Mayor Martin called the meeting to order at approximately 6:32 PM for the first meeting of the Converse Housing Finance Corporation.

 

Mayor Martin noted that Councilman Uballe was absent and all other Council members are present.

 

2.                    Discussion and Appropriate Action to Elect a President for the Converse Housing Finance Corporation

 

MPT Schindler made a motion to elect Mayor Martin as President for the Converse Housing Finance Corporation (CHFC).  Councilwoman Dupaquier seconded the motion.

 

It passed unanimously to elect Mayor Martin as President of the CHFC.

 

3.                    Discussion and Appropriate Action to Elect a Vice President for the Converse Housing Finance Corporation

 

Councilwoman Dupaquier made a motion to elect MPT Schindler as Vice President for the CHFC.  Mayor Martin seconded the motion.

 

It passed unanimously to elect MPT Schindler as Vice President of the CHFC.

 

4.                    Discussion and Appropriate Action to Appoint an Executive Director for the Converse Housing Finance Corporation

 

Mayor Martin stated the Executive Director will do the basic operations of the Corporation with the exception of chairing the meetings and the Secretary and the Treasurer can be staff members and not necessarily members of the Board.

 

MPT Schindler made a motion to appoint Mr. Hughes as Executive Director for the CHFC.  Councilwoman Dupaquier seconded the motion.

 

It passed unanimously to appoint Mr. Hughes as Executive Director for the CHFC.

 

5.                    Discussion and Appropriate Action to Appoint a Secretary for the Converse Housing Finance Corporation

 

MPT Schindler made a motion to appoint Councilwoman Weers as Secretary CHFC.  Councilman Schoen seconded the motion.

 

It passed unanimously to appoint Councilwoman Weers as Secretary for the CHFC.

 

6.                    Discussion and Appropriate Action to Appoint a Treasurer for the Converse Housing Finance Corporation

 

Councilwoman Dupaquier made a motion to appoint Mr. Wilson as Treasurer CHFC.  MPT Schindler seconded the motion.

 

It passed unanimously to appoint Mr. Wilson as Treasurer for the CHFC.

 

7.                    Discussion and Appropriate Action to Approve the Articles of Incorporation and Bylaws for the Converse Housing Finance Corporation

 

Councilman Schoen made a motion to approve agenda item #7.  Councilman Smith seconded the motion.

 

It passed unanimously to approve agenda item #7.

 

8.                    Discussion and Appropriate Action to Establish the Fiscal Year for the Converse Housing Finance Corporation

 

Mr. Wilson recommended we go with the same fiscal year as the City, October 1 – September 30.

 

MPT Schindler made a motion to approve the fiscal year as the City, October 1 – September 30.  Councilwoman Dupaquier seconded the motion.

 

It passed unanimously to approve the fiscal year as the City, October 1 – September 30.

 

9.                    Discussion and Appropriate Action to Establish the Date and Time for Regular Meetings of the Converse Housing Finance Corporation

 

Mayor Martin stated as this is progressing in its early stages we will probably be having more frequent meetings than we will once things are on auto pilot, he recommends if they are small agendas we will conduct the meetings as we have done this meeting, right before the CC meeting; and when they begin to meet quarterly he would recommend the months that have the 5th Tuesday of the month, that is generally when CC members are free.  We can cross that bridge when we come to it or as necessary.

 

CC discussed the Commissions & EDC’s meeting dates.

 

Councilman Schoen made a motion for the CHFC meet on the 1st Tuesday of the month at 6:30 PM.  Councilwoman Dupaquier seconded the motion.

 

It passed unanimously to approve the CHFC meet on the 1st Tuesday of the month at 6:30 PM

 

10.                 Discussion and Appropriate Action to Select a Depository Bank for the Converse Housing Finance Corporation

 

Mr. Wilson recommended we go with the City depository bank, Tex Star Bank.

 

Councilman Schoen made a motion to select Tex Star Bank for the CHFC depository bank.  Councilwoman Dupaquier seconded the motion.

 

It passed unanimously to approve to select Tex Star Bank for the CHFC depository bank.

 

11.                 Adjournment

 

Mayor Martin adjourned the first meeting of the CHFC at approximately 6:41 PM.
